The fact that a company director had taken legal advice, in circumstances where the Proceeds of Crime Act 2002 was applicable, was a relevant and important factor when determining the validity of an allegation that he was in breach of his duties. A director who had taken and acted on such advice to the best of his ability would prima facie have fulfilled his duties
