The court gave directions as to whether arrangements made in the course of the purchase of shares in a company, in particular securities given as part of those arrangements, constituted unlawful financial assistance by the company under the Companies Act 1985 s. 151, and as to the validity of a declaration purportedly made pursuant to "whitewash" procedure under s.155 (6) of the Act.
